Terms of Service

These Terms of Service ("Terms") govern your use of Machinery Dealer PRO Expo ("MDP Expo", "the Service") provided by ArchiusComus ("we", "us", "our"). By subscribing to or using the Service, you agree to be bound by these Terms.
Business Service: MDP Expo is a business-to-business (B2B) service intended for use by companies and organizations. By using the Service, you represent that you are acting on behalf of a business entity.
1. Description of Service
MDP Expo is a trade show quote generation system that enables machinery dealers to:
- Create and manage machinery catalogs
- Generate QR codes for trade show displays
- Capture visitor leads through digital contact forms
- Automatically generate and send PDF quotes to visitors
- Track leads and manage sales attribution
2. Account Registration
To use MDP Expo, you must create an organization account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
3. Payments and Billing
3.1 Merchant of Record
Payments for MDP Expo are processed by Paddle.com, which acts as our Merchant of Record (MoR) and authorized reseller. When you purchase a subscription, your contract for payment is with Paddle, and Paddle's terms of service apply to the payment transaction.
3.2 Subscription Plans
MDP Expo offers the following subscription tiers, billed monthly or annually (15% discount):

All prices are VAT 0%. Subscription fees are charged in advance for the upcoming billing period. Current pricing is available on our pricing page.
3.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorize Paddle to charge your payment method for recurring fees until you cancel.
3.4 Price Changes
We may change subscription prices with at least 30 days' notice before the change takes effect on your next renewal. Continued use of the Service after a price change constitutes acceptance of the new pricing.
3.5 Taxes
Paddle handles all applicable taxes (VAT, GST, sales tax) based on your location. Tax amounts will be displayed during checkout.
3.6 Subscription Metric and Fair Use
The Service is primarily licensed based on the number of machines included in the active subscription plan. In addition to the machine-based metric, the Service is subject to a Fair Use Policy regarding the number of users, in order to ensure reasonable, proportionate, and intended use of the Service.
3.7 Definition of a User
For the purposes of these Terms, a User means a natural person who is registered in the Service with authenticated access credentials and who uses the Service in an administrative, sales, management, or operational role on behalf of the Customer.
The following are not considered Users and are not counted toward user limits:
- End customers or prospects requesting quotes, offers, or information
- External recipients of quotations, documents, or links generated by the Service
- Read-only or public access to shared content where no authenticated user account is required
3.8 Fair Use User Limits
Unless otherwise agreed in writing, the following fair use user limits apply per subscription tier:

These limits are intended to reflect normal commercial usage patterns relative to the subscription tier.
3.9 Excessive or Disproportionate Use
If the number of Users materially exceeds the applicable fair use limit for the subscribed machine tier, this shall be considered excessive or disproportionate use.
In such cases, the Service Provider (or Paddle acting as Merchant of Record) reserves the right to:
- Require an upgrade to a higher subscription tier
- Propose a custom or enterprise subscription plan
- Limit the creation of additional user accounts until compliance is restored
No suspension or limitation will be applied without reasonable notice and an opportunity for the Customer to remedy the situation.
3.10 Monitoring and Verification
The Service may technically monitor the number of registered Users for billing, compliance, and service integrity purposes. Such monitoring is limited to what is necessary to enforce subscription terms and is conducted in accordance with applicable data protection laws.
3.11 Billing and Merchant of Record
All subscriptions, billing, payments, and refunds are handled by Paddle.com as the Merchant of Record. Any subscription changes resulting from fair use adjustments will be processed through Paddle in accordance with Paddle's invoiced consumer and business terms.
4. Refund Policy (Paddle)
Payments for MDP Expo are processed by Paddle, which acts as the Merchant of Record and authorised reseller. Refunds are handled in accordance with Paddle's terms.
Consumer Right to Cancel (EU/EEA consumers): If you are a consumer, you may have the right to cancel your purchase within 14 days (for subscriptions, this right applies to the initial subscription only, not each renewal). Cancellation requests should be submitted to Paddle via Paddle's support channels.
Exception for digital content / immediate performance: The right to cancel does not apply to digital content once you have started to download, stream, access, or otherwise acquire the product/service, or where you have had the benefit of the product/service.
Refunds: Refunds are provided at Paddle's sole discretion on a case-by-case basis and may be refused, including where Paddle finds evidence of fraud, refund abuse, or other manipulative behaviour.
This does not affect your statutory consumer rights where a product/service is not as described, faulty, or not fit for purpose.

5. Cancellation
You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:
- Your access continues until the end of the current billing period
- No partial refunds are provided for unused time
- Your data remains accessible for 30 days after cancellation
- After 30 days, your data may be permanently deleted
6. Acceptable Use
You agree to use MDP Expo only for lawful purposes. You shall not:
- Use the Service for any illegal or unauthorized purpose
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service
- Collect data in violation of applicable privacy laws
- Send spam or unsolicited communications through the Service
- Resell or redistribute the Service without authorization
- Use the Service in a manner that infringes others' rights
7. Your Data and Content
You retain ownership of all data and content you upload to MDP Expo ("Your Content"). By using the Service, you grant us a limited license to host, store, and process Your Content solely for the purpose of providing the Service.
You are responsible for:
- Ensuring you have the right to upload and use Your Content
- Maintaining backups of important data
- Compliance with data protection laws regarding personal data you collect
8. Data and Backups
8.1 Our Responsibility
We implement reasonable measures to protect and back up your data, including:
- Regular automated backups
- Data redundancy across availability zones
- Security measures to prevent unauthorized access
8.2 Your Responsibility
You are responsible for:
- Maintaining your own backups of critical content
- Regularly exporting your data if desired
- Understanding that we cannot guarantee against all data loss scenarios
Important: While we take data protection seriously, you should maintain your own backups of important content. We are not liable for data loss.
9. Data Protection
When you use MDP Expo to collect personal data from trade show visitors:
- You act as the data controller for that personal data
- We act as a data processor on your behalf
- You are responsible for providing appropriate privacy notices to visitors
- You must have a valid legal basis for collecting and processing the data

10. Intellectual Property
MDP Expo and all associated software, designs, and documentation are owned by ArchiusComus and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during the subscription period.
You may not:
- Copy, modify, or distribute our software
- Reverse engineer or attempt to extract source code
- Remove or alter proprietary notices
- Use our trademarks without permission
11. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice when possible)
- Emergency repairs
- Circumstances beyond our control
We are not liable for any loss or damage resulting from service interruptions.
12. Limitation of Liability
Important: To the maximum extent permitted by law, ArchiusComus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Our total liability for any claims arising from or relating to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the minimum extent permitted by law.
13. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of results
We do not warrant that the Service will be error-free, secure, or meet your specific requirements.
14. Indemnification
You agree to indemnify, defend, and hold harmless ArchiusComus and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Data you collect or process using the Service
15. Third-Party Services
The Service may contain links to third-party websites or integrate with third-party services (such as payment processors, email services, or cloud infrastructure providers). We are not responsible for:
- The content or practices of third-party services
- Your use of third-party services
- Any damages arising from third-party services
Your use of third-party services is governed by their respective terms and policies.
16. Export Compliance
You agree to comply with all applicable export and import control laws and regulations. You represent that you are not:
- Located in a country subject to a U.S. Government embargo
- Listed on any U.S. Government list of prohibited or restricted parties
17. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
If you do not agree with the changes, you may cancel your subscription before the changes take effect.
18. Termination
We may suspend or terminate your access to the Service immediately if:
- You breach these Terms
- Your payment fails and is not resolved
- You engage in fraudulent or illegal activity
- Continued service would violate applicable law
Upon termination, your right to use the Service ceases immediately. Sections regarding intellectual property, limitation of liability, indemnification, and governing law survive termination.
19. Governing Law and Disputes
19.1 Governing Law
These Terms are governed by the laws of Finland, without regard to conflict of law principles.
19.2 Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved through:
- Informal Resolution: Contact us at support@machinerydealerpro.com to attempt resolution
- Mediation: If informal resolution fails, we agree to attempt mediation
- Courts: If mediation fails, disputes will be resolved in the courts of Finland
19.3 Class Action Waiver
You agree that any disputes will be resolved on an individual basis. You waive any right to participate in class actions or class arbitrations.
For EU consumers, this does not affect your rights under mandatory consumer protection laws of your country of residence.
20. Miscellaneous
20.1 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
20.2 Entire Agreement
These Terms, together with our Privacy Policy and any subscription-specific terms, constitute the entire agreement between you and ArchiusComus regarding the Service and supersede all prior agreements and understandings.
20.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.
20.4 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
20.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, pandemics, government actions, or internet outages.
20.6 No Partnership
These Terms do not create any partnership, joint venture, employment, or agency relationship between you and ArchiusComus.
